Introduction
Welcome to Ugreen SkillHub (hereinafter referred to as "this Platform"). This Platform is operated by Ugreen Group Limited (hereinafter referred to as "we" or "us"), and is dedicated to providing developers with display, distribution, and management services for AI Skills.
This Agreement is a legal document between you and us regarding your use of the services of this Platform, and it has contractual effect. Before using any services of this Platform, please carefully read and understand the entire content of this Agreement, especially the important clauses marked in bold or underline.
[Special Notice] Some of the Skill content displayed on this Platform originates from publicly available channels on the internet. The Platform does not guarantee the legality, security, or validity of such content. If you believe that any relevant content infringes upon your lawful rights and interests, please file a complaint with us through the channel specified in Article 24 of this Agreement.
By clicking "Agree," "Register," or using the services of this Platform in any manner, you are deemed to have read, understood, and accepted all the terms of this Agreement. If you do not agree to this Agreement, please stop using this Platform immediately.
Chapter 1 Definitions and Interpretation
Article 1 Definitions
In this Agreement, the following terms shall have the following meanings:
● [This Platform] refers to the Ugreen SkillHub platform operated by Ugreen Group Limited.
● [User] refers to a natural person, legal person, or other organization that registers for and uses the services of this Platform, including Developer Users and Ordinary Users.
● [Developer User] refers to a user who publishes and manages Skill content through this Platform.
● [Ordinary User] refers to a user who browses, downloads, and uses Skill content through this Platform.
● [Skill] refers to the AI skill files displayed and distributed on this Platform, including but not limited to prompts, configuration files, code files, and related documentation.
● [Platform Content] refers to all Skills and related information displayed on this Platform, including content uploaded by developers and content sourced from publicly available channels on the internet.
● [Third-Party Sourced Content] refers to Skill content obtained by this Platform from publicly available channels on the internet and displayed on the Platform, the copyright of which belongs to the original rights holder.
● [User Agreement] refers to this Agreement and the privacy policy, specific service terms, and other supplementary agreements published by this Platform from time to time, all of which constitute an integral part of this Agreement.
Article 2 Scope of the Agreement
This Agreement applies to your use of all services provided by this Platform, including but not limited to: browsing, searching, downloading, uploading, publishing, managing, and other related interactive functions of Skills.
If this Platform separately formulates specific service terms for a particular service, such specific terms and this Agreement shall jointly govern your use of that particular service. In the event of any inconsistency between the specific terms and this Agreement, the specific terms shall prevail.
Chapter 2 Account Registration and Management
Article 3 Registration Eligibility
You confirm that, at the time you begin to register for and use the services of this Platform, you shall be a natural person, legal person, or other organization with full capacity for civil conduct.
If you are a minor under the age of 18, please read this Agreement in the company of your legal guardian, and use the services of this Platform only after obtaining your guardian's consent.
Article 4 Account Registration
This Platform adopts the UGREEN Account as its unified login entry point. The UGREEN Account is the unified identity authentication system for Ugreen's products and services. When you register or log in on this Platform, the relevant rules of that account system shall apply simultaneously. You may refer to the "UGREEN Account User Agreement " for further explanation of the user rules relating to UGREEN account management.
You may not register an account using false information, impersonate another person's identity, or use a name or avatar that may mislead others.
You shall properly safeguard your account and password, and shall bear full responsibility for all activities conducted using such account and password. If you discover that your account has been stolen or used without authorization, or that there are other security issues, you shall notify us immediately.
Article 5 Account Deactivation
You may deactivate your account in accordance with the guidance of the "UGREEN Account User Agreement." After your account is deactivated, you will no longer be able to use that account to log in to this Platform, and the relevant data within the account will be processed in accordance with applicable laws and this Agreement.
Before deactivating your account, please ensure that you have completed all outstanding matters within the Platform. Once deactivation is complete, the relevant rights and interests cannot be restored.
Chapter 3 Platform Content and Intellectual Property
Article 6 Statement on Content Sources
The Skill content displayed on this Platform is divided into the following two categories:
(1) For third-party sourced content originating from publicly available channels on the internet (including but not limited to code hosting platforms), the intellectual property rights and related interests shall belong to the original right holders, and such content shall be used and distributed in accordance with the applicable open-source licenses, commercial licenses, or other licensing terms.
(2) The intellectual property rights in any content independently uploaded and published by Developer User shall belong to such Developer User or the relevant right holders. If such content contains third-party content, the intellectual property rights in the relevant third-party content shall remain with the corresponding right holders and shall be subject to applicable licenses or other authorization terms.
With respect to third-party sourced content, this Platform has exercised reasonable duty of care in screening the sources thereof, and gives priority to including content with a clear open-source license. However, we cannot guarantee that all content has obtained full authorization, nor do we warrant the ownership of third-party content, the validity of licenses, or whether developer users have fully complied with the obligations under the relevant licenses. If you discover any infringing content, please file a complaint with us in accordance with Article 13 of this Agreement.
Article 7 Content Authorization by Developer Users
When a Developer User uploads Skill content to this Platform, you thereby represent that:
(1) You declare and warrant that you hold lawful rights to, or have obtained all necessary authorizations for, the uploaded content, and have the right to grant the relevant license to the Platform in accordance with this Agreement; if a Skill contains third-party code, software, models, data, documentation, Prompts, or other content subject to third-party rights or license agreements, you shall ensure that your uploading, publishing, distributing, and licensing actions comply with applicable laws and regulations, as well as applicable open-source licenses, commercial licenses, or other licensing terms, and will not infringe upon the legitimate rights and interests of any third party;
(2) In order to provide you and other users with storage, display, publication, distribution, download, use, and other related services for Skill, you grant us a worldwide, non-exclusive, royalty-free license, enabling us, to the extent necessary for providing and operating the services of this Platform, to store, reproduce, display, disseminate via information networks, distribute, make available for download, technically process, convert the format of, conduct security testing on, review the content of, and otherwise necessarily process the Skills you have uploaded.
(3) You shall, based on the actual source of rights in the Skill, select and accurately label the applicable open-source license, commercial license, or other licensing method for the Skill, and, in accordance with the requirements of the relevant license, retain the copyright notice, attribution information, NOTICE file, and other necessary license or rights statements.
(4) You understand and agree that the open-source license accompanying the uploaded content is binding on users who download such content, and that the Platform bears no responsibility for the performance of the terms of the open-source license.
The above authorization shall terminate after you delete the relevant content, except for any copies that need to be retained by law or by agreement in order to ensure the normal operation of the Platform, fulfill legal obligations, handle complaints and reports, resolve disputes, or maintain transaction and security records; for Skill that were lawfully obtained by other users prior to deletion, the rights already accrued to them under the applicable license shall not be affected.
Article 8 Platform's Own Intellectual Property
The intellectual property rights in this Platform's trademarks, logos, interface design, technical architecture, algorithms, database structure, and content independently created by this Platform belong to us.
Without our written authorization, you may not copy, modify, disseminate, or commercially use the aforementioned content in any manner.
Chapter 4 User Conduct Standards
Article 9 Restrictions on the Use of Skills
When you download and use Skill content through this Platform, you shall comply with the terms of the open-source license, proprietary license, or other authorization terms accompanying such Skill, and shall use the Skill within the scope and subject to the conditions specified in the relevant license or authorization terms. The Platform only provides content distribution services and does not bear joint liability for compliance obligations under the license.
If Skill simultaneously contains code, models, data, documentation, or other third-party content from multiple sources, you shall also separately comply with the license or other authorization terms applicable to the relevant third-party content.
For Skill content that is not accompanied by any license or other authorization statement, unless otherwise provided by law or unless the rights holder has otherwise expressly authorized it, you shall not assume that such content may freely be copied, modified, distributed, or used commercially, and you shall contact the original rights holder yourself to obtain authorization for use. The Platform makes no guarantee as to the legality of using such content.
Article 10 Prohibited Conduct
When using the services of this Platform, you shall not engage in the following conduct:
(1) Uploading, publishing, or disseminating Skills containing malicious code, viruses, trojans, or other destructive programs;
(2) Uploading, publishing, or disseminating jailbreak instructions or adversarial prompts intended to bypass or undermine the security mechanisms of AI systems;
(3) Uploading, publishing, or disseminating content that violates the laws and regulations of the People's Republic of China, including but not limited to content endangering national security, spreading rumors, or infringing upon others' privacy;
(4) Uploading content that you know infringes upon the intellectual property rights of others;
(5) Impersonating another person's identity, forging license information, or making false statements regarding the source of content;
(6) Conducting large-scale scraping, data collection, or abuse of API interfaces against this Platform through automated means;
(7) Interfering with the normal operation of this Platform or the normal use thereof by other users;
(8) Using the services of this Platform to engage in illegal or criminal activities.
Article 11 User's Independent Review Obligation
When using Skills on this Platform, you must fulfill the following independent review obligations:
(1) Pre-use review: Before installing or running any Skill, independently review its function description, code logic, scope of permission requests, and other users' feedback on its use;
(2) Compliant use: You shall not download, install, or use any Skill containing illegal or non-compliant content, and shall not use any Skill for the prohibited purposes listed in Article 10 of this Agreement;
(3) Handling of anomalies: If, during use, you discover that a Skill has a security anomaly or suspicious behavior, you shall immediately stop using it, promptly replace any keys, passwords, and related credentials that may have been compromised, and report the matter to this Platform through the channel specified in Article 24 of this Agreement;
(4) Assumption of own risk: Losses incurred as a result of your failure to fulfill the independent review obligations set forth in this Article shall be borne by you, and this Platform bears no joint liability therefor.
Article 12 Handling of Violations
For users who violate this Agreement, we have the right, based on the nature, circumstances, and impact of the violation and relevant laws and regulations, to take corresponding measures without prior notice, including but not limited to deleting the violating content, restricting some or all functions of the account, suspending or permanently terminating the account's access rights, and reporting suspected illegal or non-compliant conduct to the relevant competent authorities in accordance with law. For users with repeated violations or serious circumstances, we will adopt stricter disposal measures, including but not limited to permanently banning the account.
If you have any objection to the above disposal measures, you may submit an appeal via nascss@ugreen.com. We will complete our review within 15 business days of receiving the appeal.
Chapter 5 Copyright Complaint Mechanism
Article 13 Copyright Complaint Channel
If you believe that any Skill content displayed on this Platform infringes upon your lawful rights and interests, please send a written complaint notice to: nascss@ugreen.com. A valid complaint notice shall include the following:
(1) The rights holder's name, contact information, and address;
(2) A specific description of the infringed work and materials proving ownership of the rights;
(3) The specific link or location on this Platform of the allegedly infringing content;
(4) The rights holder's handwritten or electronic signature;
(5) A statement by the rights holder: that I/our organization believe in good faith that the use of the aforementioned content has not been authorized by the rights holder, its agent, or the law, and that the information in this notice is true and accurate, and that I/our organization am/is the rights holder of the rights described, or am/is authorized to act on behalf of such rights holder. If this notice contains false statements, errors, or omissions that cause loss to the Platform, related users, or third parties, I/our organization am/is willing to bear corresponding legal liability in accordance with law.
Article 14 Complaint Handling Process
Upon receipt of a complaint notice that meets the requirements, we will proceed as follows:
(1) Verify the completeness and validity of the complaint notice;
(2) Promptly notify the publisher of the relevant content (if applicable);
(3) Take down or block the allegedly infringing content within a reasonable period of time;
(4) Inform the complainant of the handling result.
If the content publisher raises an objection to the complaint and submits a valid counter-notice, we will handle the relevant dispute in accordance with applicable law.
Article 15 Liability for False Complaints
If a complainant intentionally submits a false complaint notice, causing lawful content to be wrongly taken down, the complainant shall bear corresponding legal liability to the affected content publisher and this Platform as a result.
Chapter 6 Personal Information Protection
Article 16 Collection and Use of Personal Information
We attach great importance to the protection of your personal information, and collect and process your personal information in accordance with relevant laws and regulations. For details regarding the types of personal information we collect, the purposes of processing, the retention period, and your rights, please refer to the Platform's "Ugreen SkillHub Privacy Policy."
Chapter 7 Disclaimer and Limitation of Liability
Article 17 Content Disclaimer
This Platform makes the following disclaimers regarding Platform Content:
(1) This Platform conducts security testing on all Skills prior to their formal launch, covering prompt injection risks, hard-coded sensitive information, malicious code characteristics, and known patterns for bypassing AI safety boundaries. Skills that fail the security testing will not be launched; if a security issue is discovered after launch, the Platform has the right to immediately take it down. The aforementioned security testing is a proactive security measure of this Platform, but does not constitute a complete guarantee of any Skill's accuracy, completeness, security, legality, or fitness for purpose;
(2) The security testing implemented by this Platform has a reasonable scope and technical limitations, and shall not be regarded as an ongoing guarantee of the security, legality, or fitness for purpose of any Skill. Users shall independently evaluate and prudently use Skills according to their own needs, and may not assert that the Platform bears corresponding liability solely on the grounds that a Skill has passed the Platform's security testing;
(3) This Platform makes no guarantee as to the ownership of rights in, or the legality of the authorization of, third-party sourced content;
(4) Risks arising from a user's use of Skill content shall be borne by the user;
(5) Except as otherwise provided by laws and regulations, this Platform shall not be liable for any direct or indirect losses arising from a user's use of Skill content, including but not limited to data loss, leakage of API keys or account credentials, abnormal Agent operation, system failure, business interruption, or other property losses.
Article 18 Service Disclaimer
This Platform shall not be liable in the following circumstances:
(1) Service interruption or abnormality caused by force majeure (including but not limited to natural disasters, government actions, changes in laws and regulations, network failures, etc.);
(2) Losses caused by your violation of this Agreement;
(3) Losses caused by the acts of third parties;
(4) Indirect losses, incidental losses, or punitive damages beyond the scope of reasonable foreseeability.
Chapter 8 Service Changes and Termination
Article 19 Service Changes
We have the right, based on business needs, to adjust the content, functions, fee standards, etc. of the services of this Platform, and will notify you in advance through a Platform announcement or other reasonable means.
If you do not accept a service change, you may stop using the services of this Platform and apply to deactivate your account. Continued use of the services of this Platform shall be deemed as your acceptance of the relevant change.
Article 20 Service Termination
We have the right to terminate the provision of all or part of the services to you under the following circumstances:
(1) You seriously violate this Agreement;
(2) As required by applicable laws and regulations or by a competent authority;
(3) This Platform ceases operations.
After termination of the service, we will handle the relevant data in your account in accordance with law, specifically pursuant to this Platform's "Privacy Policy."
Chapter 9 Dispute Resolution
Article 21 Governing Law
The formation, validity, interpretation, performance, and dispute resolution of this Agreement shall all be governed by the laws of the People's Republic of China.
Article 22 Method of Dispute Resolution
Any dispute arising from or related to this Agreement shall first be resolved by the parties through friendly consultation; if consultation fails, either party may file a lawsuit with a court having jurisdiction in Longhua District, Shenzhen, the place where this Agreement was concluded.
Chapter 10 Miscellaneous
Article 23 Updates to the Agreement
We have the right to revise this Agreement in accordance with changes in laws and regulations, business adjustments, or other reasons, and will notify you in advance by means of a Platform announcement, in-site message, email, or other method. Continued use of the services of this Platform after a revision takes effect shall be deemed as your acceptance of the revised Agreement.

Article 25 Severability
If any provision of this Agreement is determined to be invalid, illegal, or unenforceable by a court of competent jurisdiction or other competent authority, this shall not affect the validity of the other provisions of this Agreement.
Article 26 Entire Agreement
This Agreement,Ugreen SkillHub Privacy Policy and Ugreen SkillHub Content Safety & Listing Guidelines constitute the entire agreement between you and us regarding your use of the services of this Platform, and supersede any prior oral or written agreements between you and us on this subject.
